1. Scope and Acceptance of Terms

Jungbunzlauer Suisse AG / Jungbunzlauer International AG (“Jungbunzlauer”) provides selected customers (“User”) access to its online platform jbl4u.com, subject to these Terms of Use. Jungbunzlauer may amend these Terms of Use at any time, and any further access to jbl4u.com will be subject to the User’s acceptance of the new Terms of Use. The use of jbl4u.com constitutes the User’s acceptance of the Terms of Use. The Terms of Use complement the Privacy Notice of Jungbunzlauer and, if applicable, Jungbunzlauer’s General Conditions of Sale. With respect to any commercial agreement between Jungbunzlauer (and/or its affiliates) and the User, the Jungbunzlauer’s General Conditions of Sale shall prevail in case of conflict. While Jungbunzlauer and/or its affiliates may communicate electronically with its customers through jbl4u.com to facilitate operational procedures, no electronic communication shall be legally binding (except for the acceptance of the Terms of Use).

Should any provision of the Terms of Use be or become invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected. The invalid, illegal or unenforceable provision shall be replaced by a valid, legal and enforceable provision which comes as close as possible to the economic purpose of the invalid, illegal or unenforceable provision. The same shall apply in case of a gap.

These Terms of Use, the use of jbl4u.com and any use of information accessed through jbl4u.com shall be governed by the substantive laws of Switzerland, excluding its conflict of laws rules. Any dispute, controversy or claim arising out of, or in relation to, the Terms of Use, the use of jbl4u.com or any use of information shall be exclusively and finally determined by the ordinary courts of Basel, Switzerland.

2. Access, Use, and User Account

Jungbunzlauer grants the User a limited, non-exclusive, non-transferable right to access jbl4u.com and use the information and data accessed through jbl4u.com (“Content”) to the extent required to describe or evaluate the User’s own products, which are produced with or incorporate Jungbunzlauer products (“Permitted Use”). The User may access jbl4u.com and reproduce Content by printing or downloading for such purposes. Any further use other than the Permitted Use is prohibited. The Permitted Use shall be limited to the duration of the business relationship with Jungbunzlauer. Any unauthorised access or use shall immediately terminate the User’s right to access jbl4u.com and right to use the Content.

The User shall access the site through a personal account (login and password). The User is responsible for maintaining the confidentiality of their account, for restricting access to their computer, and accepts responsibility for all activities that occur under their account.

Jungbunzlauer reserves the right to change or amend jbl4u.com or any Content as it deems appropriate and without prior notice.

3. Intellectual Property

Jungbunzlauer is and shall remain the exclusive owner of jbl4u.com and any Content, and no right or license to any patent, copyright, trade secret or other intellectual property is granted to the User under these Terms of Use (except for the Permitted Use). Nothing in these Terms of Use and no disclosure made through jbl4u.com shall result in any obligation of Jungbunzlauer to grant any further right or license to the User.

4. Confidentiality

Jungbunzlauer may share certain Confidential Information with the User for the Permitted Use. “Confidential Information” means any non-public information or data accessed through jbl4u.com including, but not limited to, any kind of business, commercial or technical information and data. Confidential Information shall include any non-public marketing information, technical data, product specifications, safety data sheets, environmental evaluation data and any other information which relates to past, present, or future products, research and development of Jungbunzlauer and/or its affiliates.

The User shall (i) keep all Confidential Information strictly confidential, using at least the same degree of care as for its own confidential information, but no less than reasonable care, (ii) use Confidential Information exclusively and only as necessary for the Permitted Use and (iii) not disclose any Confidential Information to any third party, other than Representatives (as defined below). These confidentiality obligations do not apply to information that the User can prove (i) is or becomes publicly available other than through the User’s breach of these Terms of Use or other wrongful act, (ii) was already known to the User before its disclosure (as evidenced by written records), (iii) is independently developed by the User without reference to the Confidential Information (as evidenced by its written records) or (iv) is lawfully obtained by the User from a third party without a confidentiality obligation, provided that, to the User’s best knowledge, this third party is not breaching any confidentiality obligation to Jungbunzlauer and/or its affiliates. The User may disclose Confidential Information to a court, tribunal, or government authority if required by a statutory, judicial, or similar mandatory requirement. In such cases, if legally permitted, the User must promptly provide written notice to Jungbunzlauer of the requirement to allow Jungbunzlauer to seek a protective order or equivalent.

The User may disclose Confidential Information to its affiliates, employees, and consultants who need to know such information for the Permitted Use (“Representatives”). Customers of the User that acquire the User’s products, which are produced with or incorporate Jungbunzlauer products, shall also be deemed Representatives, provided, however, that such customers are neither competitors of Jungbunzlauer nor distributors. If the User is in doubt with respect to the disclosure to a potential customer, the User shall consult Jungbunzlauer prior to any such disclosure. The User assumes full responsibility for the actions and omissions of any Representatives and guarantees they will be bound by terms no less stringent than those in these Terms of Use and will use the Confidential Information only as permitted herein.

Although Jungbunzlauer believes that certain data can only be interpreted correctly within a comprehensive environmental analysis, it may provide such information on a confidential basis and subject to these Terms of Use. The User shall ensure that any disclosure of its own product information (e.g. environmental data of User’s products) does not allow for the extraction of or conclusions regarding Confidential Information (i.e. disclosure in an aggregated and anonymized form).

Upon termination of the business relationship with Jungbunzlauer or termination of the User’s right to access jbl4u.com, the User shall stop using the Content. The User’s confidentiality and non-use obligations under these Terms of Use shall survive such termination for ten (10) years.

5. Warranty Disclaimer and Limitation of Liability

Any Content is provided “as is” and no warranties of any kind, whether express or implied, are given by Jungbunzlauer and/or its affiliates with respect to the Content or any use thereof (including, but not limited to, with respect to accuracy, quality, completeness or fitness of any Content for a particular purpose). The Content shall not constitute an agreed quality of any products of Jungbunzlauer and/or its affiliates.

The Content reflects the situation at the time such information or data was collected and Jungbunzlauer and/or its affiliates shall be under no obligation to update the Content. The Content may be based on certain assumptions, approximations and limitations (e.g. an expiry date) as may be further set out in the Content that consequently may impact the accuracy, reliability or value of such Content. The safety data sheet formats may only adhere to regulatory requirements in the countries for which they were prepared and may not meet requirements in other locations.

Any liability (including any indemnification claims) of Jungbunzlauer and/or its affiliates shall be excluded to the fullest extent permitted under the applicable law.
